TERMS & CONDITIONS AND RELEASE AGREEMENT

I HAVE CAREFULLY READ THIS AGREEMENT AND FULLY UNDERSTAND ITS CONTENTS.

By checking the box next to this Terms of Use and clicking the "Purchase" button, you acknowledge and agree to enter into this Terms & Conditions and Release Agreement ("Agreement") with Kelly Stevens LLC, a Colorado limited liability company, and its community and coaching program, Align Society ("Align Society").

We operate the website www.kellystevens.co (the "Site") as well as other related products and services that refer or link to these legal terms ("Terms") (collectively, the "Services").

Align Society (the "Membership") is a community and coaching program that includes:

  • Monthly in-person and virtual events

  • The Aligned Leader digital course

  • A digital online community

  • Additional programs and events hosted by Kelly Stevens and Align Society

Additional Services may include one-on-one coaching and membership, events, conferences, courses, and retreats. These programs and services shall be collectively known as the “Services”.

These Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Kelly Stevens LLC concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services moving forward are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms. We will alert you of any changes by updating the "last updated" date of these Terms, and you waive the right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates.

The Services are intended for users who are at least 18 years of age. Persons under the age of 18 are not permitted to use or register for the Services.

COMMUNITY GUIDELINES

You agree to follow the Community Guidelines and understand that a breach of guidelines may result in a warning or the termination of your participation in the Services without refund based on the sole discretion of Kelly Stevens, Align Society, and its employees.

OUR INTELLECTUAL PROPERTY

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws in the United States and around the world. The Content and Marks are provided in and through our Services "as is" for your personal non-commercial use only.

No part of the Services and no Content or Marks may be shared, copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any personal sharing or commercial purposes whatsoever without our express prior written permission. You agree not to disclose, reproduce, or distribute the Service's written materials, techniques, or methods to any third party without prior written consent.

Submissions: By directly sending us a question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions") you agree to assign us all intellectual property rights in such Submission. You agree that we shall own this Submission.

Contributions: The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality during which you may create, submit, post, display, publish, distribute, or broadcast content and materials to us through the Services, including but not limited to text, writings, video, audio, photographs, music, graphics, comments, and reviews. You understand that Contributions may be viewable by other users of the Services and possibly through third-party websites.

You are responsible for what you post or upload. We may remove or edit your content that we consider harmful or in breach of our Community Guidelines. You have read and agree with our Community Guidelines and prohibited activities. Upon breaking the Community Guidelines and/or prohibited activities, Members will receive one warning or be asked to immediately leave the Services upon notice at the discretion of Kelly Stevens without a refund.

USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  1. All registration information you submit will be true and accurate.

  2. You will maintain accuracy of such information.

  3. You have the legal capacity and agree to comply with these legal terms.

  4. You are not a minor and are at least 18 years old.

  5. You will not use the Services for any illegal or unauthorized purpose.

ASSUMPTION OF RISKS

You understand that participating in the Services entails risks and challenges associated with an intensive training program of personal and professional/business development, including, by way of example, physical, mental, or emotional distress that may accompany significant life changes. By signing up for the Services, you voluntarily assume the risks arising from your participation in the Services, including risks that cannot be foreseen at this time. You take full responsibility for any subsequent actions you choose to take as a result of the influence, information, or educational materials provided to you by Kelly Stevens, Align Society, any Authorized Speakers/Mentors, and any of the other Service participants. You understand that outcomes of the Services can be subjective and can vary greatly depending upon individual circumstances and individual effort invested in the Services.

LIMITATIONS OF LIABILITY

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of these Services. Our liability to you for any cause whatsoever will at all times be limited to the amount paid during the one-month period prior to any cause of action arising.

INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, officers, agents, partners, employees, speakers, event hosts, event venues, and members from and against any loss, damage, liability, claim, or demand.

You agree not to institute or attempt to institute any legal action, arbitration, demand, or proceeding against Kelly Stevens LLC, Align Society, its affiliates, successors, assigns, agents, consultants, representatives, employees, volunteers, and licensees, Authorized Speakers, any of the other Services participants, the venue, and all others involved in the Services.

TECHNOLOGY

We are not responsible for any specific technology you may need in order to adequately view and utilize the Services.

USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing and performance of the Services, as well as data relating to your use of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity that you have undertaken using the Services. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

SOCIAL MEDIA & THIRD-PARTY WEBSITES

The Services may contain (or you may be sent via the Site) links to other websites or social media accounts, as well as articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software, and other content or items belonging to or originating from third parties ("Third Party Content"). Such Third Party Content is not investigated, monitored, or checked for accuracy, appropriateness, or completeness by us, and we are not responsible for any Third Party Content accessed through Services. If you decide to leave the Services and access the Third Party Content, you do so at your own risk, and you should be aware these Terms and Conditions no longer govern. You should review the applicable terms and policies, including privacy and data-gathering practices, of any Third Party Content and sites.

TERM AND TERMINATION

These Terms shall be applicable and enforceable while you use the Services. We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services to any person for any reason or no reason. We may terminate your use or participation in these Services at any time, without warning. We cannot guarantee that Services will be available at all times. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Services at any time or for any reason. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access the Services during any downtime or discontinuance of the Services. If payments have been made for Services not rendered, we will provide a refund unless the Services have been terminated due to a breach of the Terms and Conditions and Community Guidelines.

TRANSFERS

You understand that Services are non-transferable to a third party, under any circumstance.

PURCHASES AND PAYMENTS

You agree to the payment pricing, terms, and subscription model outlined on the checkout page.

Your state of residence must be kept up to date and will be used to adhere to applicable laws that may apply to you based upon your state of residence.

Subscriptions for Services will be available on a month-to-month or annual subscription basis and will be automatically renewed based on the day you signed up and according to the payment terms selected at the time of purchase.

Failure to make timely payments will restrict or end access to Services, and original pricing or promotions may no longer be applicable.

CANCELLATION & REFUND POLICY

  • Month-to-month subscriptions may be canceled up to 48 hours before the next billing cycle date. The disclosed setup fee is non-refundable. To cancel a monthly membership, send an email to hello@kellystevens.co with the subject line MONTHLY MEMBERSHIP CANCELLATION, including your name, email address, and confirmation of your request 48 hours before the next billing cycle date.

  • Annual subscriptions may be canceled within 48 hours of purchase. After that, no refunds shall be made. The disclosed setup fee is non-refundable. To cancel an annual membership, send an email to hello@kellystevens.co with the subject line ANNUAL MEMBERSHIP CANCELLATION, including your name, email address, and confirmation of your request within 48 hours of your purchase.

FEE CHANGES

We reserve the right to increase or decrease the price of Services for future launches, and/or edit the deliverables, and that the price for current members may increase in the future, in the sole and absolute discretion of Kelly Stevens LLC and Align Society.

HYPNOBREATHWORK PARTICIPATION

By participating in the HypnoBreathwork course, available with the Align Society membership, you agree to the terms of the “Release of Liability, Waiver and Assumption of Risk Agreement” included in the course. BY MOVING FORWARD WITH THE BREATHWORK SESSIONS, YOU ARE INDICATING THAT YOU UNDERSTAND THE INFORMATION CONTAINED IN THE AGREEMENT AND AGREE WITH IT.

PUBLICITY AND PHOTO WAIVER

By participating in the Services, you acknowledge you have been informed that you may be asked to set up an online account with personal information (including your full name and profile photo), provide a testimonial, and that your involvement may be recorded in various forms such as audio, video, or images. Kelly Stevens LLC and Align Society may use your photo, recording, or content for advertising, promotion, and any other commercial and business purposes. Participants of Align Society and other programs led by Kelly Stevens will always be informed of any audio or video recordings.

By agreeing to these terms and conditions in their entirety, you acknowledge that your participation is voluntary and that you are solely responsible for your actions.

This Agreement shall be governed by the laws of the State of Colorado without regard to its conflicts of law provisions.
